NexSTAY is a travel platform dedicated to helping travelers discover trusted accommodations and travel experiences designed to promote comfort, wellbeing, and meaningful travel.

At this stage of development, certain features presented on the Platform, including bookings, memberships, wellness services, and travel enhancements, may be informational only and are not yet available for public use.

These Terms apply to all visitors, subscribers, prospective hosts, and anyone interacting with the Platform.

To use NexSTAY, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding agreement.
• Provide accurate and truthful information when submitting forms or creating an account (where applicable).

You agree not to use the Platform if doing so would violate any applicable laws or regulations.

You may use the Platform solely for lawful and personal purposes.

You agree that you will not:

• Use the Platform for fraudulent or unlawful purposes.
• Attempt to gain unauthorized access to our systems.
• Introduce viruses, malware, or harmful code.
• Copy, reproduce, distribute, or modify any portion of the Platform without written permission.
• Impersonate another individual or organization.
• Submit false or misleading information.
• Interfere with the operation or security of the Platform.

We reserve the right to suspend or terminate access to users who violate these Terms.

NexSTAY currently offers opportunities to join our Early Access list, Passport Membership list, and the Founding Host Program.

By submitting your information, you acknowledge that:

• Joining does not create a customer account.
• Joining does not guarantee future membership.
• Joining does not guarantee access to bookings or services.

By subscribing, you consent to receive communications related to NexSTAY, including updates, promotions, product announcements, and future opportunities. You may unsubscribe from marketing communications at any time.

Certain features displayed on the Platform may be identified as "Coming Soon" or described as future bookings.

These may include, but are not limited to:

• Online bookings
• Membership programs
• NexSTAY Passport
• NexBOX wellness experiences
• Personalized travel recommendations
• Host dashboards
• Loyalty programs
• Additional travel services

Descriptions of future features are provided for informational purposes only and may be modified, delayed, or discontinued at NexSTAY's sole discretion.

Unless otherwise stated, all content on the Platform is owned by NexSTAY or licensed to NexSTAY.

This includes:

• Logos
• Brand names
• Graphics
• Website design
• Text
• Icons
• Images
• Videos
• Software
• Layouts
• Marketing materials
• Trademarks

You may not reproduce, copy, modify, distribute, or commercially exploit any part of the Platform without prior written consent.

If you voluntarily submit information including contact forms, host applications, feedback, surveys, reviews, photographs, or other materials, you grant NexSTAY a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content solely for the purpose of operating, improving, or promoting the Platform.

You confirm that you own or have the necessary rights to submit such content.

The Platform may integrate or link to third-party services, including payment providers, mapping services, analytics platforms, email providers, and social media platforms.

NexSTAY is not responsible for the content, privacy practices, or availability of third-party websites or services.

Your use of those services is governed by their respective terms and privacy policies.

Your use of the Platform is also governed by the NexSTAY Privacy Policy.

By using NexSTAY, you acknowledge that you have read and understood our Privacy Policy.

While we strive to maintain continuous access to the Platform, NexSTAY does not guarantee uninterrupted availability.

The Platform may be temporarily unavailable due to:

• Maintenance
• Technical issues
• System upgrades
• Security updates
• Circumstances beyond our reasonable control

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time without prior notice.

The Platform and all content are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, NexSTAY makes no warranties or representations regarding:

• Availability of the Platform
• Accuracy of information
• Future availability of services
• Suitability for a particular purpose
• Continuous or error-free operation

Information presented on the Platform should not be interpreted as professional travel, legal, financial, or medical advice.

To the maximum extent permitted by law, NexSTAY, its founders, affiliates, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

• Your use of the Platform
• Inability to access the Platform
• Reliance on information presented on the Platform
• Technical failures or interruptions
• Unauthorized access to your information

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

You agree to indemnify and hold harmless NexSTAY, its founders, affiliates, employees, contractors, and representatives from any claims, damages, liabilities, costs, or expenses arising from:

• Your misuse of the Platform.
• Your violation of these Terms.
• Your infringement of any third-party rights.
• Your unlawful conduct while using the Platform.

NexSTAY may update these Terms from time to time to reflect changes in our business, services, or legal obligations.

Updated versions will be posted on this page together with a revised Effective Date.

Your continued use of the Platform after changes become effective constitutes your acceptance of the updated Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
